Subscription Terms and Conditions

Administrative Fees:  There will be a 5% administrative fee added to subscriptions paid monthly, and a 2% administrative fee added to subscriptions paid quarterly.  There is no administrative fee added to subscriptions paid annually.

Users: The number of licensed users shall determine the maximum number of concurrent users which shall be allowed to access the licensed software at a given time.

Termination:  Clients shall have the right to cancel a subscription on the annual anniversary of the subscription, provided that the client provides written notice of his intent to cancel the subscription at least 60 days before the annual anniversary of the subscription.

Guaranteed Rates:  The monthly subscription rates are guaranteed for at least 36 months from the inception of the subscription.  Thereafter, subscription rates may be adjusted reasonably according to the then current published rates.

Training:  Training through the pre-recorded and web-based facilities of eU (Electronic University) is included with the subscription.  On-site training or other specially arranged interactive training is available separately.

Software Support:  Standard Software Support is included with the subscription.  However, if reasonable limits on telephone calls and support requests are exceeded or abused, DDS reserves the right, upon written notice, to limit, restrict, or charge separately for unreasonable support requests or demands.

Software Updates:  Normal software updates are included in the Standard Software Support which is included with the subscription.  DDS reserves the right to identify new products from time to time which will be available for a separate additional subscription fee.

Monitoring Number of Users: DDS reserves the right to implement and to utilize means and methods for monitoring the number of concurrent software users to ensure that the number of licensed users is not exceeded.  Such methods shall not unduly interfere with the subscriber's use of the licensed software.

Protection against Piracy:  DDS reserves the right to implement and to utilize means and methods to restrict the opportunity for piracy of the licensed software.

Termination for Cause:  Either party may assert a written demand for termination for cause.  The offending party shall have not less than 30 days to cure or to make acceptable arrangements for cure.

Termination for Non-Payment:  If subscription payment is not received on or before the payment due date, DDS reserves the right to terminate the client's authorization to use the licensed software upon 7 days notice.  If such termination is invoked by DDS, then DDS reserves the right to charge lapse and reinstatement fees before re-activating the client's authorization to use the licensed software. Such lapse and reinstatement fees shall be reasonable and published.

Rights to Data:  In the event that DDS terminates the subscription, client shall be guaranteed the continuing right to his data, even though the client will not be allowed to use the licensed software to view, modify, or report the data.
